Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and MGS Express LLC (“Kwyzi,” “we,” “us,” or “our”) governing your use of the Kwyzimobile app and website (the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 13 years old (or the minimum age of digital consent in your country) to use the Service. If you are under the age of majority where you live, you may use the Service only with the involvement of a parent or guardian who agrees to these Terms.
2. The Service
Kwyzi lets you upload notes, automatically generates multiple-choice study questions from them, and delivers those questions to your device as push notifications you can answer. We may add, change, or remove features at any time.
3. Your Account
You are responsible for keeping your login credentials secure and for all activity under your account. Notify us promptly at support@kwyzi.com if you suspect unauthorized use.
4. Subscriptions, Billing, and Cancellation
- Kwyzi Pro is an auto-renewing subscription that unlocks additional features. Pricing is shown in the app before you purchase.
- Payment is charged to your Apple App Store or Google Play account at confirmation of purchase.
- Auto-renewal. The subscription renews automatically for the same period unless you cancel at least 24 hours before the end of the current period. Your account is charged for renewal within 24 hours before the period ends.
- Managing and canceling. You can manage or cancel your subscription in your Apple App Store or Google Play account settings. Uninstalling the app does not cancel a subscription.
- Refunds. Purchases are handled by Apple or Google and are subject to their refund policies; we generally cannot issue refunds directly.
- Price changes. We may change subscription prices; changes apply to future billing periods and, where required, only after notice and your consent.
5. Your Content
You retain ownership of the notes and materials you upload (“Your Content”). You grant us a limited, worldwide, non-exclusive license to host, store, process, and transmit Your Content solely to operate and provide the Service to you, including sending it to our AI provider to generate questions. You represent that you have the rights to upload Your Content and that it does not infringe anyone else’s rights or violate any law. Do not upload confidential, unlawful, or third-party copyrighted material you are not permitted to use.
6. AI-Generated Content Disclaimer
Questions, answers, and explanations are generated automatically by artificial intelligence and may contain errors or inaccuracies. Kwyzi is a study aid only and does not provide professional, academic, medical, legal, or other expert advice. Always verify important information against authoritative sources. You are responsible for how you use the generated content.
7. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or to upload unlawful or harmful content.
- Reverse engineer, scrape, overload, or interfere with the Service or its security.
- Attempt to access another user’s account or data.
- Resell, redistribute, or commercially exploit the Service without our permission.
8. Intellectual Property
The Service, including its software, design, and Kwyzi branding, is owned by MGS Express LLC and protected by intellectual property laws. These Terms do not grant you any right to our trademarks or branding.
9. Termination
You may stop using the Service and delete your account at any time (Settings → Delete account). We may suspend or terminate your access if you violate these Terms or to protect the Service or other users. Sections that by their nature should survive termination will survive.
10. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that generated content will be accurate.
11. Limitation of Liability
To the maximum extent permitted by law, MGS Express LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the 12 months before the claim or USD $50.
12. Indemnification
You agree to indemnify and hold MGS Express LLC harmless from claims arising out of Your Content, your use of the Service, or your violation of these Terms or applicable law.
13. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date and, where appropriate, notify you. Continued use of the Service after changes take effect constitutes acceptance.
14. Governing Law
These Terms are governed by the laws of the United States and the State in which MGS Express LLCis organized, without regard to conflict-of-laws rules. Disputes will be resolved in the courts located there, unless applicable law requires otherwise.
15. Apple App Store Terms
If you download Kwyzi from the Apple App Store, you acknowledge that these Terms are between you and MGS Express LLC only, not Apple, and that Apple is not responsible for the app or its content. Apple has no obligation to provide maintenance or support for the app. In the event the app fails to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price (if any); to the maximum extent permitted by law, Apple has no other warranty obligation. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. You represent that you are not located in a country subject to a U.S. Government embargo and are not on any U.S. Government restricted-parties list.
